Terms and Conditions

1. Quotes and orders

Every project is quoted in detail after an initial conversation with the Client. The quote sets out the project scope, estimated timeline and applicable pricing.

The order is considered accepted once the Client confirms the quote in writing, by email or signature.

2. Pricing and payment

Current setup and monthly subscription pricing is listed on youmo.be, excluding VAT.

The setup cost is billed according to the terms agreed in the quote, potentially in installments. The monthly subscription, which includes hosting and maintenance, is billed from the system's launch date and automatically renews unless terminated under the conditions set out in Article 8.

3. Delivery timeline

Timelines are indicative and depend on the complexity of the project as well as how promptly the Client provides the necessary materials (content, visuals, approvals). A reasonable delay does not entitle the Client to compensation.

4. Intellectual property

Unless stated otherwise in the quote, the source code developed specifically for the Client, along with their system's data (orders, catalog, customers), belongs to them once the setup cost is paid in full.

Youmo retains the right to reuse generic technical components developed for its own use or for other clients, excluding anything specific to the Client (branding, content, data).

5. Hosting, maintenance and subscription

The monthly subscription covers hosting the system, its domain name (unless already owned by the Client), security updates and corrective maintenance. Every action is logged in the Client's dedicated client area.

6. Client obligations

The Client agrees to provide, within a reasonable time, the information, content and approvals needed to complete the project, and to use the system for its intended purpose, in compliance with the regulations applicable to their sector.

7. Liability

Youmo takes reasonable measures to ensure the system's availability and security. Youmo cannot be held liable for indirect damages, nor for service interruptions caused by factors outside its control (a third-party provider outage, force majeure).

Where Youmo's liability is established, it is limited to the amount paid by the Client under the current subscription.

8. Duration and termination

The subscription runs for an indefinite period after launch, and either party may terminate it with one month's written notice. Upon termination, the Client retains access to their data for 30 days to request an export.

9. Personal data protection

Youmo processes personal data in accordance with the General Data Protection Regulation (GDPR). Data collected through the Client's system (orders, contact details) remains the Client's property and is only used by Youmo to deliver the service.

10. Governing law and disputes

These terms are governed by Belgian law. Any dispute regarding their interpretation or execution falls under the exclusive jurisdiction of the courts of the Brussels district.
